Ebner Stolz advises ZIEGLER GROUP on two share and one asset deal

The auditing and consulting firm Ebner Stolz advised ZIEGLER GROUP on the complete acquisition of Engelhardt & Geissbauer GmbH ("E&G GmbH") as well as on the acquisition of majority shares in Schwebheimer Holzelementbau GmbH ("SH GmbH") and on the acquisition of selected assets of Engelhardt & Geissbauer GbR ("E&G GbR"). Transaction support was provided in form of a Financial Due Diligence.
The ZIEGLER GROUP, headquartered in Plößberg (Bavaria), is a woodworking company operating throughout Europe. Despite its size, the ZIEGLER GROUP has remained an owner managed family business.
Based in Burgbernheim, E&G GmbH has many years of experience in the assembly of prefabricated wooden houses and was fully acquired as part of a share deal. In addition, the ZIEGLER GROUP also takes over the fixed assets of E&G GbR, which functions as a holding company in the Engelhardt & Geissbauer Group, as part of an asset deal. The shares were sold by the two previous shareholders.
As part of another share deal, the ZIEGLER GROUP also acquires a majority stake in SH GmbH, which acts as a production company for the above mentioned E&G GmbH. The previous shareholder of SH GmbH retains minority interest in the company and continues his role as a shareholder.
As the new owner of the Engelhardt & Geissbauer Group and SH GmbH, the ZIEGLER GROUP plans to expand its value chain in the field of prefabricated wooden houses.
Ebner Stolz provided the ZIEGLER GROUP with Financial Due Diligence support within the transaction process.
